1. Acceptance of terms
By accessing or using Reconcilyo ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users of the Service.
2. Description of service
Reconcilyo is a web application that connects to your Xero organisation via the Xero API and assists you in matching bulk bank deposits to multiple outstanding invoices. The Service applies payments in Xero on your behalf when you confirm a match.
3. Xero API usage
The Service accesses your Xero data using the Xero API, subject to Xero's Developer Platform Terms and Xero's Terms of Use. You are responsible for ensuring you have the authority to connect and use the Xero organisations you add to the Service.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Use the Service to process data you are not authorised to access.
- Reverse-engineer, decompile, or disassemble the Service.
- Transmit any viruses, malware, or other harmful code through the Service.
5. Subscription and billing
The Service offers paid subscription plans. By subscribing, you authorise us to charge your payment method on a recurring basis at the rate displayed at the time of purchase.
- Subscriptions are billed monthly or annually, as selected at checkout.
- All prices are exclusive of applicable taxes unless stated otherwise.
- Free trials are available for 14 days. After the trial, you must subscribe to continue using the Service.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We do not offer refunds for partial billing periods.
Payments are processed by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
6. Data and accuracy
The Service assists you in reconciling invoices but does not guarantee the accuracy of any match. You are solely responsible for reviewing and confirming matches before applying them to Xero. We are not liable for any financial discrepancies, incorrect payments, or accounting errors arising from your use of the Service.
7. Limitation of liability
To the maximum extent permitted by law, Reconcilyo and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or third parties.
You may terminate your account at any time by disconnecting all Xero organisations and cancelling your subscription.
10. Changes to these terms
We may update these Terms of Service from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the new terms.
11. Governing law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved in the appropriate courts of jurisdiction.
